Our Mission
Status of Education Without Borders
This non-profit association is governed in accordance with Article 60 and the following of the Swiss civil law. Please find the statutes here below:
Article 1:
The Association “Education Sans Frontière” indicated below is a non-profit association ruled by Article 60 and the following of the Swiss civil law.
Article 2:
The Association is located at the residence of the Secretary in Meyrin – Geneva Switzerland.
The duration of the Association is indefinite.
Purposes of the Association:
Article 3:
The Association aims to develop a reflection and activities to instill values such as respect for human rights, citizenship and peace in youngsters in third world countries and in particular in Cameroon.
Support local collectives in their actions to guide people.
Contribute to the improvement of living conditions for people, to promote protection and the improvement of the environment and the management of natural resources.
Promote the education of human rights and democracy.
Contribute to the development of parallel socio-educational activities and promote on-going education.
Protect the national cultural values and stimulate participation and development.
The Association is independent, apolitical and is affiliated to no other group or organization.
Article 4:
Subscription of the members helps the Association fulfill its tasks and donations of any kind for that purpose are accepted. The Association can, as a result of the General Assembly’s decision, request personal works for the members to complete defined objectives.
Members:
Article 5:
1. Anyone who was accepted as such by the Executive Committee of the Association can become a member.
2. The Executive Committee keeps an updated list of all members. Anyone who has not paid the membership contribution for over two years can be removed from the list.
3. The General Assembly can decide to suspend or remove membership of one or more persons for reasons appropriate to the Assembly, notably if one or several concerned members are damaging to the Association.
4. Any member can resign at any time. The dismissal should be sent to the office of the secretary by registered letter.
Outgoing or excluded members have no right in the social balance of the association.
Governing Bodies and Procedures:
Article 6:
The body of the association is: the General Assembly, the Executive Committee and the Auditor. The members of the Committee are elected by the General Assembly.
Article 7:
The General Assembly is the controlling body of the Association. It includes all the members of the Association and is responsible for important decisions. The General Assembly is accountable for:
- The modification of status;
- The appointment of the members of Executive Council and the Auditor;
- Voting for the discharge of the committee;
- Adopting the rules
Article 8:
- The General Assembly meets at least once a year in common session.
- The General Assembly is summoned by the order of the Executive Committee or by a fifth of the members of the Association.
- The summons are sent by mail at least twenty (20) days prior the date of the General Assembly.
- Any subject that members want to discuss at the General Assembly must be submitted in writing to the Executive Committee a minimum of ten (10) days in advance.
- The Committee meets at least once every six months, and every time it is summoned by the President or at request of the quarter of the members.
- A report of the sessions is held and signed by two members of the Committee, normally the President and the secretary.
Article 9:
- Every member can vote.
- The decisions of the General Assembly, with regards to the dissolution or to the modification of statutes, are made with a majority of two-thirds. Other decisions are made upon simple majority. In the event of a tied vote, the vote of the President will be considered the deciding vote.
Article 10:
The administration of the Association is managed by an Executive Committee and is also in charge of the budget and projects of the Association.
Article 11:
The Executive Committee consists of at least three (3) and maximum seven (7) members of the Association, of which are at least a president, a treasurer and a secretary. The Executive Committee is reelected at every common General Assembly.
In the case of vacancy, the Committee will provide a temporary replacement of the member(s). The definitive replacement will be elected at the next General Assembly.
Article 12:
The Committee makes all the useful decisions for the good functioning of the Association and notably has the following responsibilities:
- Represent the Association towards third parties;
- Manage the activities;
- Manage the budget and resources of the Association;
- Make and sign contracts and other acts in the name of the Association;
- Summon and chair General Assemblies;
- Delegate certain tasks to third parties.
Article 13:
The decisions of the Executive Committee are made according to simple majority.
Article 14:
- The Executive Committee represents the Association towards third parties.
- The members of the Executive Committee are responsible for the Association’s commitments by the collective signature of two, one of which should be that of the President.
Resources and Responsibilities:
Article 15:
The resources of the Association include:
- Contributions of the members;
- Donations;
- Private or official subsidies.
Article 16:
The amount of the contributions is fixed by the General Assembly.
Article 17:
The members of the Association are not personally responsible for social debts and are guaranteed only by the social balance of the Association.
Dissolution:
Article 18:
- The dissolution of the Association can be decided by the General Assembly.
- In case of dissolution, the social balance of the organization, once the accounts in full settlement, will be given to an organization pursuing a similar purpose or a humanitarian foundation.
The present statutes were approved by the Constitutive Assembly of September 10th 2005 In Meyrin – Geneva Switzerland.
